1. Acceptance of Terms

Welcome to Hyzer HQ. By accessing or using the Hyzer HQ website located at www.hyzerhq.com and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age, you must have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

You must provide accurate, current, and complete information during registration and maintain the accuracy of such information throughout your use of the Service.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your contact information remains accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations
  • Impersonate any person or entity, or falsely claim an affiliation
  • Engage in fraudulent activity, including false tournament registrations or score manipulation
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Attempt to gain unauthorized access to any part of the Service or other accounts
  • Use automated means (bots, scrapers, etc.) to access the Service without permission
  • Transmit any malware, viruses, or other harmful code
  • Harass, abuse, or harm other users
  • Use the Service for any commercial purpose not authorized by Hyzer HQ

5. Tournament Participation

When registering for and participating in tournaments through the Service:

  • You agree to abide by all tournament rules set by the tournament director
  • You agree to accurately report your scores and division eligibility
  • All sales are final. Registration fees are not refundable as cash. If you withdraw from an event, you will receive account credits that can be used toward future event registrations or gift card redemptions at participating vendors on the platform
  • Amateur Division Prizes: Prize payouts for amateur divisions are issued as vendor credit (gift cards) through the payout vendor selected by the event organizer. Vendor credits have no cash value and are not withdrawable as cash
  • Pro Division Prizes: Prize payouts for pro divisions are credited to your Hyzer HQ platform balance, which may be withdrawn subject to the terms described in Section 7
  • You understand that tournament results and standings may be publicly displayed
  • You agree to conduct yourself in a sportsmanlike manner

Hyzer HQ is a platform that connects tournament directors with players. We are not responsible for the organization, management, or outcomes of individual tournaments hosted on our platform.

6. Event Organizer Responsibilities

If you create or manage events (including tournaments, leagues, series, clinics, or other activities) through the Service, you acknowledge and agree to the following terms. By creating an event or series on Hyzer HQ, you accept these responsibilities each time you publish.

6.1 General Organizer Obligations

As an event organizer, you agree to:

  • Provide accurate event information including date, time, location, entry fees, and rules
  • Manage your event in compliance with all applicable local, state, and federal laws
  • Comply with PDGA rules and regulations if your event is PDGA-sanctioned
  • Honor registrations and refund policies as advertised
  • Accurately enter and finalize scores and results in a timely manner
  • Distribute prizes and payouts in accordance with your posted event rules
  • Communicate promptly with registered participants regarding any event changes
  • Conduct your event in a professional and sportsmanlike manner

6.2 Platform Fees and Financial Terms

When you create an event on Hyzer HQ, the following fees apply to each registration:

  • Director Fee: A per-registration platform fee is deducted from each entry to cover platform operations and payment processing
  • PDGA Fee: If applicable, a per-registration fee is deducted for PDGA-sanctioned events
  • Fundraising Fee: If you associate a fundraising initiative with your event, a per-registration contribution is deducted

All applicable fees are displayed during event creation and are binding once the event is published. Fees are automatically deducted from registration revenue before payouts are calculated. You acknowledge that the fee structure shown at event creation time represents the agreed-upon terms for that event.

6.3 Payout Responsibilities

Hyzer HQ facilitates player payouts through the following mechanisms:

  • Amateur Divisions: Payouts for amateur divisions are processed through the payout vendor you select during event creation. You are responsible for selecting the correct vendor
  • Pro Divisions: Payouts for pro divisions are credited to players' Hyzer HQ platform balances
  • Scoring Finalization: You must finalize all scoring before payouts can be processed. Payouts will not be initiated until scores are marked as final
  • Series Bonus Payouts: If you enable bonus payouts for a series, the bonus fee per entry is collected throughout the series and distributed based on final standings once all events are complete

Hyzer HQ is not responsible for delays or issues that occur on the payout vendor's side after payouts are initiated. You are responsible for verifying that payouts are received by participants.

6.4 Withdrawal and Refund Policy

  • All registration sales are final. Cash refunds are not available through the platform
  • When a participant withdraws from your event, they receive account credits that may be used for future registrations or gift card redemptions
  • In the event of a cancellation, you are responsible for ensuring all registered participants receive appropriate credits
  • You must clearly communicate your event's withdrawal policy to participants before registration opens

6.5 Participant Safety and Liability

As an event organizer, you assume full responsibility for participant safety at your events:

  • You are solely liable for any injuries, damages, or incidents that occur at your events
  • You must maintain appropriate insurance coverage for your events as required by your venue and applicable law
  • You must ensure the event venue is safe, suitable, and properly maintained for the planned activities
  • You are responsible for having appropriate emergency procedures in place
  • You must comply with all venue rules, permits, and capacity requirements

Hyzer HQ is not a co-organizer of your events and bears no liability for on-site incidents, injuries, property damage, or any other claims arising from your event operations.

6.6 Cancellation Policies

  • You may cancel events, but must provide adequate notice to all registered participants
  • Upon cancellation, you are responsible for issuing refunds to all registered participants
  • Repeated or pattern cancellations may result in restrictions on your ability to create future events on the platform

6.7 Data Accuracy and Compliance

  • You must provide accurate and up-to-date event details (dates, location, fees, rules, division structure)
  • You are responsible for complying with all applicable local, state, and federal laws related to your event operations
  • You are responsible for any tax reporting obligations on income received through the platform
  • You must not misrepresent event details, capacity, or conditions to attract registrations

6.8 Platform Role

Hyzer HQ provides the technology platform that enables you to create, manage, and promote your events. You acknowledge and agree that:

  • Hyzer HQ is a platform provider only and is not a party to any agreement between you and your event participants
  • Hyzer HQ does not endorse, guarantee, or assume responsibility for any event listed on the platform
  • Hyzer HQ reserves the right to remove events or restrict organizer accounts that violate these Terms or that we reasonably believe are fraudulent, misleading, or harmful to the community
  • Hyzer HQ may update these organizer terms at any time, and your continued use of the event creation features constitutes acceptance of any changes

7. Payments, Fees, and Transactions

The Service facilitates financial transactions including tournament registration fees, payouts, and account balance management:

  • All payments are processed securely through our payment processor (Stripe)
  • Hyzer HQ may charge service fees for certain transactions as disclosed at the time of transaction
  • Account balances may be withdrawn subject to minimum thresholds and verification requirements
  • All sales are final. Registration fees are not refundable as cash. If you withdraw from an event, you will receive account credits that can be used for future event registrations or gift card redemptions at participating vendors

Chargebacks or payment disputes may result in account suspension pending investigation.

7.1 Account Credits

Account credits may be issued as a result of event withdrawals, promotional offers, or other platform activities. Credits can be used to register for events or to redeem gift cards at participating vendors on the platform. Account credits have no cash value, are not withdrawable as cash, and are non-transferable.

7.2 Tax Reporting (W-9 and 1099)

Any earnings received through the platform, including but not limited to pro division prize payouts, organization balances, and affiliate commissions, may be subject to tax reporting requirements under applicable federal, state, and local law. You acknowledge and agree to the following:

  • Hyzer HQ may request a completed IRS Form W-9 (or equivalent) from any individual user or organization that has earned funds through the platform
  • Hyzer HQ will issue IRS Form 1099 (or other required tax documents) to users and organizations when required by law, based on total earnings during the applicable tax year
  • Earnings are reportable regardless of whether they have been withdrawn. Funds credited to your account or organization balance are considered earned income for tax purposes even if you have not requested a withdrawal
  • You are solely responsible for reporting all income earned through the platform to the appropriate tax authorities and for paying any applicable taxes
  • Failure to provide a valid W-9 when requested may result in withholding of payouts or suspension of withdrawal privileges until the required documentation is received

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Hyzer HQ LLC and are protected by intellectual property laws. This includes:

  • The Hyzer HQ name, logo, and branding
  • Website design, graphics, and user interface
  • Software, code, and underlying technology
  • Documentation and other written materials

You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. User Content

You retain ownership of content you submit to the Service (profile information, tournament descriptions, photos, etc.). By submitting content, you grant Hyzer HQ a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating the Service.

You represent that you have the right to submit any content you provide and that it does not violate the rights of any third party.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any defects in the Service will be corrected

You assume all risk for your use of the Service and participation in tournaments facilitated through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYZER HQ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or goodwill
  • Personal injury or property damage arising from your use of the Service
  • Unauthorized access to or alteration of your data
  • Actions or omissions of tournament directors or other users

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you have paid to Hyzer HQ in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Hyzer HQ LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will cease immediately
  • Outstanding account balances will be handled according to our withdrawal policies
  • We may retain certain information as required by law or for legitimate business purposes

You may terminate your account at any time through your profile settings, subject to any outstanding obligations or pending transactions.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Hyzer HQ regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
